Licensed Software - Captools/net software is owned by Captools Company. Captools Company, the licensor, grants end users the right to operate the software subject to the prospective licensee executing user declarations and purchase agreements, subject to payment of the stipulated licensing fees, and subject to the prospective licensees agreement to license terms presented to the user upon installation of the software.

Use of Captools/net software without payment of licensing fees, without agreeing to or abiding by the license terms, using Captools/net software licensed to another person or to an another business entity, or using Captools/net software based upon false representation on user declarations or purchase agreements, or use of Captools/net software that has been modified to disable licensing control features is considered illegal use, subject to both business and legal remedies.

License Renewals - All versions of Captools/net licensed for commercial or institutional use are licensed on an annual basis, with the license anniversary set at the time of initial licensing. Upon license expiration, Captools/net software functionality is reduced such that existing data dated prior to the expiration may be viewed, exported and reported, but new data may not be added and most other data manipulation functions and computations are disabled. Captools/net software licenses may be renewed to restore functionality by paying the annual license renewal fee as billed by Captools Company. In connection with such license renewal billing, Captools Company reserves the right to require that the licensee provide an accurate signed declaration of licensee business entity, software installation site(s), and physical and beneficial users of the software (by name) as a prerequisite to the billing.

License Updates - Non-commercial licensed versions of Captools/net, licensed for the personal use of a single individual, are not subject to license expiration except in case of licensing violation by the user. However, certain automation and scripted features (e.g. data downloads), which employ automated updates of scripts and software from the Captools Co. website, may be disabled after a year has elapsed following issue of the license. These features can be reinstated by purchasing a "license update" from Captools Company which will restore them for an additional year starting from the license update date.

Limited Warranty - Captools/net software is subject to a limited warranty presented to the user along with the licensing terms at the time of software installation. Please note that this limited warranty advises the user that Captools/net software is provided "as is", that it is the responsibility of the end user to ascertain the accuracy of software output and the security of the systems upon which the software operates, and that in no event shall Captools Company or its successors be liable for loss of profits or commercial damage resulting from or incidental to use of Captools/net. Users from localities which do not permit such disclaimer of commercial damage in limited warranties may not license this software for use in their locality, without first executing and providing to the licensor a document limiting the licensor's liabilities to minimum damages in conformance with the local laws.

Captools Co. Shutdown - In February 2026 Captools Co. informed licensed users that the company was winding down its operation. It subsequently also informed such users that those with Captools/net licenses expiring after 6/30/2026 would be "grandfathered" meaning that such users, with the installation of subsequently issued "Hotfix" versions would be licensed for and able to run the software as if there were no license key expiration. Several such hotfixes have been released as of this writing (7/17/26) the latest of which should be installed. This notice may be interpreted that user with such licenses may continue to run the software without further license renewal payments. Additionally, Captools Co. hereby grants non-previously licensed users to run the software at a "Deminimus" level, without payment, with installation of the hotfix, subject to the accounts being limited by code to a small number. Captools Co. and its successors cannot and does not guarantee or warrant any particular functionality of the software under such licensing, and notes that at some future time the functionality will likely degrade due to external factors, such as operating system updates, third-party security software, etc. Lastly, in conjunction with the Captools Co. shutdown, the "captools.com" website, phone, and fax will be shutdown before the end of 2026.
